1. Terms And Condition

By subscribing to services provided by Digital Tribe ("we," "us," "our"), you ("customer," "client") agree to the following terms and conditions. This agreement governs the provision of digital services including programming, system configuration, graphic design, and project management.

2. Subscription Agreement

You sign a monthly subscription agreement with Digital Tribe. This subscription can be paused or canceled at any time, which will take effect at the end of your current monthly subscription period. If you do not pause or cancel, the subscription will automatically renew for another month.

3. Service Provision

We assure the availability of digital experts based on the subscription plan you choose. We reserve the right to assign experts to tasks as needed and switch experts on specific tasks whenever necessary.

4. Use of Digital Assets

5. Intellectual Property and Copyright

We waive all copyrights on the custom-developed digital assets we create for you. However, third-party systems' copyrights are governed by their respective copyright statements. Pre-built solutions provided by us can be used by you, but we retain the rights to these solutions and may reuse them in other projects. For exclusive copyrights, you must address this in writing and receive our written consent for the particular area in question.

6. Quality Assurance

We provide programming and system configuration services based on the information you supply. You are responsible for conducting proper quality assurance. We cannot guarantee our solutions will be future-proof for all scenarios, particularly if your needs exceed typical use cases. If you'd like assistance in the quality assurance we are happy to help in that domain with our experts as well. But being fully transparent: at the days end you will utilize the digital solutions to provide services by means of your organization, so be aware that you have the full responsibility for the digital solution and/or content at the time we hand over the solution to you. If we help you host your solution, please keep in mind that you or your company will still be responsible for the provided service.

7. Payment Terms

Payments are due on a monthly recurring basis upfront. Cancelling or pausing a subscription can be done to the end of the a billing cycle, so that the subscription will not renew the next upcoming cycle. Remaining subscription days are not refundable and can be utilized up until expiration, which takes place at the end up the billing cycle

8. Liability Limitations

Our liability for any damages arising from the services provided shall be limited to the amount paid by you for the services in the preceding month. We are not liable for indirect, incidental, or consequential damages.

9. Confidentiality

We will maintain the confidentiality of any sensitive information shared with us during the project. This obligation continues even after the termination of the agreement.

10. Dispute Resolution

Any disputes arising from this agreement will be resolved through negotiation between the parties. If a resolution cannot be reached, the dispute will be settled through arbitration in accordance with the rules of [Arbitration Organization].

11. Termination Clause

Either party may terminate this agreement by providing written notice if the other party breaches any material term of the agreement and fails to cure the breach within 30 days of receiving notice of the breach.

12. Governing Law

This agreement is governed by the laws of [Jurisdiction], without regard to its conflict of law principles.

13. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, or government actions.

14. Support and Maintenance

We may provide support and maintenance services as detailed in your subscription plan.

15. Amendments

We reserve the right to amend these terms and conditions at any time. Any changes will be communicated to you in writing.

By subscribing to our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
